By downloading, installing, or using the Nudge desktop application ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. These Terms are a binding agreement between you and Nudge-HUD.
Upon purchase, Nudge-HUD grants you a non-exclusive, non-transferable, revocable license to install and use the Software on your personal devices in accordance with these Terms. Each license key is valid for a single user across the number of devices specified at the time of purchase. You may not sublicense, resell, lease, rent, or otherwise distribute the Software or your license key to any third party.
The Software requires online activation using the license key provided upon purchase. Activation validates your license via the Lemon Squeezy License API. An active internet connection is required for initial activation. Subsequent launches verify the activation status stored locally.
All payments are processed through Lemon Squeezy, a third-party payment processor. By purchasing a license, you agree to Lemon Squeezy's terms and conditions.
Nudge-HUD offers a 14-day refund policy. If you are not satisfied with the Software, you may request a full refund within 14 days of purchase by contacting [email protected]. Refund requests beyond the 14-day window will be reviewed on a case-by-case basis. Refunds are processed through Lemon Squeezy and may take 5-10 business days to appear on your statement.

The Software, including its code, design, branding, documentation, and all associated materials, is the intellectual property of Nudge-HUD and is protected by copyright and other intellectual property laws. These Terms do not grant you any ownership rights to the Software. The name "Nudge," the Nudge logo, and all related marks are trademarks of Nudge-HUD.
The Software may automatically download and install updates to improve functionality, address bugs, or patch security vulnerabilities. Updates are governed by these Terms unless accompanied by separate terms. You may be required to update the Software to continue using it.
The Software is provided "as is" and "as available," without warranty of any kind, express or implied. Nudge-HUD does not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements. Your use of the Software is at your own discretion and risk.
To the fullest extent permitted by applicable law, Nudge-HUD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of productivity, business interruption, or computer failure arising from your use of or inability to use the Software. In no event shall Nudge-HUD's total liability exceed the amount you paid for the Software license.
These Terms remain in effect until terminated by either party. Nudge-HUD may terminate your license if you breach any provision of these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. The provisions regarding intellectual property, disclaimer of warranties, limitation of liability, and any other provisions that by their nature should survive termination shall continue to apply.
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page and, where practical, through the Software or website. Your continued use of the Software after changes are posted constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nudge-HUD operates, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of that jurisdiction.
